Acceptance of terms
By accessing or using Rasm, you agree to be bound by these Terms of Service. If you are using the service on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree, do not use the service.
Service description
Rasm provides AI-powered compliance monitoring for workplace communications. The service scans messages, code, and activity across connected integrations (including Slack, GitHub, Gmail, Microsoft Teams, and Outlook) to identify potential compliance violations and surface them to authorized reviewers in your organization.
Account responsibility
You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. You agree to notify us promptly of any unauthorized access. Administrators are responsible for the activity of users they invite into their organization.
Acceptable use
You agree not to use Rasm to:
- Conduct unlawful monitoring or surveillance.
- Violate applicable privacy laws, including any requirement to obtain proper employee consent before monitoring workplace communications.
- Infringe the intellectual property or privacy rights of any third party.
- Attempt to disrupt, reverse-engineer, or abuse the service.
- Use the service in any manner that could damage, disable, or impair the platform.
You are responsible for ensuring that your use of the service complies with all laws applicable to your jurisdiction and your employment relationships. We recommend adding a communication monitoring disclosure to your employee handbook.
Free trial
All paid plans begin with a 14-day free trial. No credit card is required to start a trial. You will not be charged unless you explicitly subscribe to a paid plan. At the end of the trial, your account will revert to the Free plan if no payment method is provided.
Billing and payment
Paid plans are billed monthly or annually via Paddle (our Merchant of Record), depending on the billing cycle you select. Fees are charged in advance for the applicable billing period. All fees are stated in US dollars and are non-refundable except as described in our Refund Policy. Taxes, where applicable, are added at checkout.
We reserve the right to change pricing with 30 days advance notice. Price changes will not apply to the current billing period.
Data ownership
You retain all rights to the data you submit to or generate within Rasm. We process customer data solely as a data processor acting on your behalf for the purpose of providing the service. We do not claim ownership of your data and we do not use customer content to train AI models.
Service availability
We use commercially reasonable efforts to maintain the availability and performance of the service. Non-Enterprise plans are provided on a best-effort basis without a formal service level agreement. Enterprise customers may contract for explicit SLAs as part of a separate order form.
We may perform scheduled maintenance with reasonable advance notice. We are not liable for interruptions caused by factors outside our control, including internet outages, third-party service disruptions, or force majeure events.
Limitation of liability
To the maximum extent permitted by law, Rasm's total aggregate liability for any claims arising out of or relating to these terms or the service is limited to the fees paid by you in the twelve (12) months preceding the event giving rise to the claim. Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, regardless of the theory of liability.
Indemnification
You agree to indemnify and hold harmless Rasm, its officers, directors, and employees from any claims, damages, or expenses (including reasonable attorney fees) arising from: (a) your use of the service in violation of these terms, (b) your violation of any applicable law or regulation, or (c) any third-party claim relating to your data or your use of the service.
We will indemnify you against third-party claims alleging that the service, as provided by us, infringes a valid intellectual property right, provided you give us prompt written notice and reasonable cooperation.
Termination
Either party may terminate the service for convenience with thirty (30) days written notice. We may suspend or terminate accounts immediately for breach of the acceptable use provisions, non-payment, or fraudulent activity. Upon termination, you may export your data for up to 30 days before it is permanently deleted.
Changes to these terms
We may update these terms from time to time. For material changes, we will notify you via email at least 30 days before the changes take effect. Your continued use of the service after the effective date constitutes acceptance of the updated terms. If you disagree with the changes, you may cancel your account before the effective date.
Governing law
These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the state or federal courts located in Delaware.
